Last updated: 10/02/2026
IMPORTANT NOTICE:
PLEASE READ THESE TERMS CAREFULLY. SECTION 24 REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, WITH NO JURY TRIAL AND NO CLASS ACTION, UNLESS YOU OPT OUT WITHIN 30 DAYS. SECTIONS 18 TO 21 DISCLAIM WARRANTIES, LIMIT OUR LIABILITY, RELEASE CERTAIN CLAIMS AND REQUIRE YOU TO INDEMNIFY US. SECTION 7 EXPLAINS THAT INDEPENDENT SUPPLIERS, NOT LE RAMBOUILLET, PROVIDE AND ARE RESPONSIBLE FOR THE TRAVEL, GOODS AND EXPERIENCES WE ARRANGE.
About Le Rambouillet
1.1 Who we are.
Le Rambouillet, LLC is a New York limited liability company with its principal office at 575 5th Ave, New York, NY 10017 ("Le Rambouillet", "we", "us", "our"). We provide private concierge and lifestyle management services.
1.2 What these Terms cover.
These Terms govern (a) Membership, (b) every Request and all Services, whether or not you are a Member, and (c) your use of our website and any Member Portal.
1.3 How you accept.
You accept these Terms when you sign a membership agreement, tick or click to accept them, pay a Fee, or submit a Request, whichever happens first. If you do not accept these Terms, do not apply for Membership or submit a Request.
1.4 Other documents.
A signed membership agreement and any agreement for a specific service, such as a charter agreement or an event contract, form part of our agreement with you. If they conflict, the service-specific agreement governs that service, then the membership agreement, then these Terms. Our Privacy Notice explains how we handle personal information.
1.5 Our role.
We research, recommend, arrange and coordinate, and we do so as your agent. We are not a carrier, an aircraft or vessel operator, a tour operator, a hotelier, a restaurateur, a ticket seller, [a real estate broker,] a dealer, an authenticator, an appraiser, an insurer, a lender or a security provider. We do not give legal, tax, financial, investment, immigration or medical advice. We do not own, employ or control Suppliers.
1.6 Your contract is with the company only.
Your agreement is with Le Rambouillet, LLC alone. No member, manager, officer, employee, contractor or affiliate of Le Rambouillet is a party to it or has any personal liability to you under it or in connection with the Services.

Membership
3.1 Application.
Membership is by application and is granted at our sole discretion. We may decline an application without giving a reason. We may ask for further information and may carry out identity, sanctions, compliance and background checks before or after acceptance.
3.2 Personal to you.
Membership is personal and may not be shared, transferred, sold or assigned without our prior written consent.
3.3 Authorized Representatives.
We may act on any Request, approval or instruction given by an Authorized Representative without further inquiry, and you are bound by it as if you had given it yourself. Tell us in writing if a person's authority ends; until we have had a reasonable time to act on that notice, we may continue to rely on that person.
3.4 Guests.
You are responsible for your Guests and Authorized Representatives, for their conduct, and for every amount they incur. You will make sure they know of and comply with these Terms and all Supplier Terms.
3.5 Entities.
If you accept these Terms for a company, family office, trust or other entity, you confirm you have authority to bind it, and "you" includes that entity.
3.6 Accurate information.
You will give us true, complete and current information, and tell us promptly when it changes. We may decline or cancel a Request, or suspend Membership, if information is inaccurate, incomplete or late.
3.7 Account security.
You are responsible for keeping login details and devices secure and for all activity under your account. Tell us immediately if you suspect unauthorized use.
3.8 Age.
You must be at least 18 years old. Minors may take part only as your Guests and under your supervision and responsibility.
Fees and payment
4.1 Membership Fees.
Membership Fees are payable in advance as invoiced. They are non-refundable in whole or in part, including if Membership is suspended or terminated or you do not use the Services, except where these Terms say otherwise or the law requires.
4.2 Renewal.
Unless your membership agreement says otherwise, Membership renews automatically for successive terms of the same length at the Membership Fee then in effect. We will remind you before each renewal as the law requires. You may stop renewal at any time before the renewal date by emailing info@lerambouillet.com or by any other method we make available; cancellation takes effect at the end of the current term. You authorize us to charge the renewal fee to your payment method on file on or shortly before the renewal date.
4.3 Service Fees.
We will tell you about a Service Fee before it is incurred. A Service Fee is earned when incurred and is non-refundable, even if you later cancel the Request or a Supplier fails to perform.
4.4 Supplier Charges.
You are responsible for all Supplier Charges for you, your Guests and your Authorized Representatives, whether they arise before, during or after the Supplier Services, and whether or not the Supplier Services are used.
4.5 Price confirmation.
We will confirm the price, and the material Supplier Terms known to us, before we commit you to a booking or purchase, unless section 4.6 applies. A quoted price can change until the Supplier confirms it.
4.6 Urgent and standing instructions.
Where you ask us to act urgently, or give us a standing instruction or spending authority, we may commit you to Supplier Charges without further confirmation.
4.7 Amounts billed to our accounts.
Some Suppliers bill Le Rambouillet rather than you. When we pay a Supplier Charge for you, or become liable to pay it, we do so as your agent and for your convenience. That does not make us the Supplier, a guarantor of the Supplier, or a lender. You will reimburse us in full on invoice, including charges that post after your stay or event, such as incidentals, damage and late charges. We may require payment, a deposit or a payment method on file before we commit to anything.
4.8 Payment authorization.
By giving us a card, bank account or other payment method, you confirm you are entitled to use it. You authorize us to (a) charge it for Fees, Supplier Charges and any other sum you owe us, and (b) give it to Suppliers to secure and pay for bookings. Where we act on your instructions, we are not responsible for how a Supplier uses your payment details
4.9 When payment is due.
Invoices are due on receipt unless the invoice says otherwise. You will pay without set-off, deduction or withholding.
4.10 Late payment.
If a payment is late we may (a) charge interest at 1.5% a month or, if lower, the highest rate the law allows, (b) recover our costs of collection, including reasonable attorneys' fees, (c) suspend the Services and decline Requests, (d) cancel unpaid bookings at your cost, and (e) apply any deposit, credit or refund we hold for you against what you owe.
4.11 Chargebacks.
Contact us before you dispute a charge with your bank or card issuer. You will not reverse or dispute a charge you or an Authorized Representative authorized. You are responsible for the amount, the issuer's fees and our reasonable costs where a dispute concerns an authorized charge or is resolved in our favor.
4.12 Refunds.
Supplier refunds are decided by the Supplier. We pass a refund on only when, and to the extent that, we have received it. We are not required to advance a refund a Supplier has not paid.
4.13 Taxes and currency.
Amounts are exclusive of taxes unless stated. You bear exchange-rate differences and bank and card charges.
Our Services
5.1 Standard.
We will use commercially reasonable efforts to fulfill Requests we accept.
5.2 No guarantee.
We do not guarantee availability, access, pricing, upgrades, a specific room, table, seat, aircraft or vessel, timing or any particular outcome. Dates and times are estimates, and time is not of the essence.
5.3 Alternatives.
If we cannot fulfill a Request as made, we may propose an alternative. You are free to decline it.
5.4 Recommendations.
Our recommendations are opinions based on the information available to us. They are not warranties, and the decision to proceed is yours. Descriptions, images, ratings and availability come from Suppliers and other third parties, and we do not verify them independently.
5.5 Declining a Request.
We may decline, suspend or stop work on any Request at our sole discretion. Reasons may include that a Request appears unlawful, unsafe or unethical, may harm our reputation or our Supplier relationships, conflicts with Supplier Terms, or lacks the information or payment we need.
5.6 How we deliver.
We may perform the Services through affiliates, subcontractors and partners. Response times vary with time zones, Supplier hours and demand, and are not guaranteed.
5.7 No fiduciary or advisory relationship.
Nothing in these Terms creates a fiduciary, trust, employment, partnership or joint venture relationship between you and us. Our only duties are those set out in these Terms.
Requests
6.1 Channels.
You may submit Requests by telephone, email, the messaging services we approve, or the Member Portal. A Request is not accepted until we confirm we are acting on it.
6.2 Your instructions.
You are responsible for the accuracy and completeness of every instruction, including names as shown on passports, dates, party size and special requirements. We may rely on any instruction that appears to come from you or an Authorized Representative through a telephone number, email address or account associated with you.
6.3 Check what we send you.
Review each confirmation, itinerary and invoice promptly. Tell us about any error within 24 hours of receiving it, and in every case before the travel, event or delivery. After that, the cost of correcting an error is yours.
6.4 Your own arrangements.
We are not responsible for arrangements you make directly or through anyone else, even if we later help with them.
Suppliers
7.1 Suppliers are independent.
Suppliers are independent third parties. They are not our employees, agents, partners or joint venturers. We do not own, operate, manage or control them.
7.2 Your contract is with the Supplier.
When we arrange Supplier Services, we act as your agent. The contract for those Supplier Services is between you and the Supplier, even where we make the booking in our name, use our account, or pay on your behalf. You authorize us to accept Supplier Terms for you. You and your Guests are bound by them.
7.3 The Supplier is responsible.
The Supplier alone is responsible for the Supplier Services, including their availability, quality, safety, legality and performance. To the fullest extent the law allows, we are not liable for any act, omission, error, delay, cancellation, overbooking, default, breach, negligence, insolvency or misconduct of a Supplier or any other third party. Nor are we liable for any resulting injury, death, illness, loss of or damage to property, delay, inconvenience or expense.
7.4 How we choose Suppliers.
We suggest Suppliers in good faith on the basis of reputation and experience. We do not inspect, audit or certify a Supplier's safety, licensing, insurance, financial standing or data security, and we make no promise about any of them.
7.5 Claims.
Any claim about Supplier Services is a claim against the Supplier. We will give reasonable help in communicating with the Supplier. We are not obliged to pursue, fund or join a claim.
7.6 How we are paid.
Suppliers may compensate us, including through net or negotiated rates, commissions, referral fees, preferred-partner benefits or other consideration. You consent to our receiving and keeping that compensation, and we have no duty to account to you for it. [We do not add a markup above a hotel's published rate for the same room and dates.]
7.7 Your information with Suppliers.
A Supplier handles the personal and payment information it receives under its own policies, which we do not control.
Cancellations, changes and refunds
8.1 Supplier Terms govern.
Cancellations, changes, refunds, returns and exchanges are governed by Supplier Terms. Many bookings and purchases are non-refundable and cannot be changed
8.2 How to cancel or change.
Send cancellations and changes to us in writing. One is effective only when we confirm it, and only if it reaches us with reasonable time to act before the Supplier's deadline.
8.3 Charges.
You are responsible for all cancellation, change and no-show charges, and for our Fees.
8.4 If the Supplier cancels or changes.
If a Supplier cancels, changes or fails to provide Supplier Services, your remedy is against the Supplier under the Supplier Terms. We will use reasonable efforts to find an alternative. Any additional cost is yours.
8.5 Goods.
Returns and exchanges of goods depend on the Supplier. Keep proof of every return. Customs duties, import taxes and shipping costs are not recoverable through us.
Travel and accommodation
9.1 Documents and entry.
You alone are responsible for passports, visas, permits, health and vaccination requirements, and customs, entry and transit rules for you and your Guests. Anything we tell you about them is general information and may be out of date.
9.2 Insurance.
We do not provide insurance. We strongly recommend comprehensive travel, medical, evacuation, cancellation and valuables cover. If you travel without it, you accept the resulting risk and cost.
9.3 Risk.
Travel carries risk, including illness, injury, crime, political unrest, natural events, and standards of safety and medical care that differ from those at home. You are responsible for checking government travel advisories and for deciding whether you and your Guests are fit to travel and take part.
9.4 Traveler information.
You are responsible for the accuracy of all traveler details. We are not liable for cost or disruption caused by inaccurate or late information.
9.5 Special requests and benefits.
Room type, views, upgrades, early or late check-in, amenities and loyalty accrual are not guaranteed unless the Supplier confirms them in writing.
9.6 Conduct and damage.
You are responsible for the conduct of your party at any property. You will pay for damage, loss, excess cleaning and breaches of property rules, including where the Supplier bills us.
9.7 Villas and private residences.
Privately owned properties vary. Descriptions come from the owner or manager. Security deposits, house rules and local licensing are matters between you and the owner.
9.8 Ground transport and security.
Chauffeur, transfer and security services are provided by independent Suppliers under their own licenses and insurance.
Private aviation and yachts
10.1 Air charter broker.
For charter flights, Le Rambouillet acts as an air charter broker and as agent of the charterer, unless we tell you otherwise in writing before you contract. Le Rambouillet is not a direct air carrier or a direct foreign air carrier. It does not own or operate aircraft and is not in operational control of any flight. Every flight is operated by a properly licensed direct air carrier or direct foreign air carrier, which keeps operational control at all times.
10.2 Charter agreement.
Each charter is subject to a charter agreement and to the operating carrier's conditions of carriage. Before you contract, we will give you the operating carrier's name and the other disclosures the law requires, including our insurance position.
10.3 Operations.
The operating carrier and the pilot in command decide all operational and safety matters. Aircraft, crew, routes and schedules may change because of weather, air traffic control, mechanical issues, crew duty limits or regulation. Charges such as de-icing, catering, connectivity, ground handling, repositioning, crew overnights, international fees, fuel surcharges, cleaning and damage may be added to the quoted price.
10.4 Passengers.
You will give accurate passenger details and identification, and make sure your party complies with baggage limits, rules on pets and hazardous items, the law and crew instructions.
10.5 Yachts.
A yacht charter is a contract between you and the yacht's owner, made through the owner's broker or central agent and governed by the charter agreement. The captain has authority over the vessel, the itinerary and safety. The advance provisioning allowance, delivery fees, taxes, fuel, crew gratuities and damage are yours to pay. We do not own, manage or crew any vessel.
10.6 Carrier and owner liability.
The liability of a carrier or owner, and any insurance, is as stated in its own terms. International conventions and local law may limit it.
Dining, clubs and nightlife
11.1 Venue discretion.
Reservations, tables, seating, admission and service are at the venue's sole discretion. Venues set their own dress codes, age limits, identification requirements and door policies. We are not liable if you are refused a reservation, admission or service.
11.2 Securing a booking.
A venue may require a card to hold a booking, and you authorize us to provide yours. Deposits, minimum spend, service charges, late-cancellation fees and no-show fees are yours to pay.
11.3 No-shows.
Repeated no-shows or late cancellations damage the relationships we rely on. We may decline further dining and nightlife Requests if they continue.
11.4 Conduct.
You are responsible for the conduct of your party, including the consumption of alcohol.
Events, tickets and experiences
12.1 We are not the seller.
The organizer, venue or ticket seller, not Le Rambouillet, is the seller. Your contract for the ticket or experience is with that seller on its terms. Tickets may come from the primary or the secondary market. The price may be above face value and may include the seller's fees and a Service Fee.
12.2 Sales are final.
Tickets and experiences are generally non-refundable and non-transferable. If an event is cancelled, postponed or changed, your remedy is whatever the seller's policy provides. We do not refund Supplier Charges or Fees.
12.3 Delivery and entry.
Tickets may be delivered shortly before the event and may need an app or an account in your name. Entry is at the venue's discretion. Lost, stolen or unused tickets are not replaced.
12.4 No resale.
You will not resell or commercially exploit tickets or access obtained through us without our written consent.
12.5 Activities with risk.
Some experiences carry an inherent risk of serious injury or death. Motorsport, flying, water sports, skiing, safaris and adventure activities are examples. You and your Guests take part voluntarily and at your own risk. You are responsible for your fitness to take part, for insurance, and for signing any waiver the Supplier requires.
12.6 Private events.
Events we plan or coordinate for you are subject to a separate event agreement. Venues, caterers, performers and other vendors are Suppliers.
Sourcing goods and property
13.1 We are an intermediary.
When we source goods, such as watches, jewelry, art, vehicles, wine, fashion and collectibles, we introduce you to the seller or buy as your agent. The seller is the Supplier. We are not the seller or a dealer unless we say so in writing.
13.2 No warranty.
We make no representation or warranty about the authenticity, provenance, title, condition, legality, rarity, or present or future value of any item. Descriptions, certificates and reports come from the seller or a third party.
13.3 Your due diligence.
You are responsible for independent inspection, authentication, valuation and legal advice before you commit. The decision to buy is yours alone.
13.4 Not investment advice.
Nothing we say about an item, a market or a property is investment, financial or tax advice.
13.5 Shipping, import and export.
Risk of loss passes as the Supplier Terms provide, and you should insure items in transit. Duties, taxes, permits, registration and compliance with export, wildlife and cultural-property rules are your responsibility.
13.6 Real estate.
[Le Rambouillet is not a licensed real estate broker or agent.] We may introduce you to licensed brokers, owners and managers. Any purchase, sale, lease or rental is negotiated and contracted between you and them, and you should take independent legal advice.
Introductions to professionals and staff
14.1 Introductions only.
We may introduce you to healthcare and wellness providers, schools and education consultants, legal, tax and financial advisers, security firms, and household staffing agencies. An introduction is not an endorsement, a professional referral or advice.
14.2 You engage them directly.
You are responsible for verifying credentials and for the terms on which you engage any professional. Their advice and services are their responsibility alone.
14.3 Medical matters.
We do not give medical advice or provide emergency services. In an emergency, contact the local emergency services.
14.4 Household staff.
We are not the employer of, or an employment agency for, household staff. You are responsible for vetting, employment terms and compliance with employment and tax law, unless a staffing Supplier takes that on in writing.
Your responsibilities and conduct
15.1 Your responsibilities.
You will give instructions and approvals in good time, pay when due, comply with the law and with Supplier Terms, and not use the Services for any unlawful, fraudulent or abusive purpose.
15.2 Respect.
You will treat our team and our Suppliers with courtesy. Abusive, threatening, discriminatory or harassing conduct by you, a Guest or an Authorized Representative is grounds for immediate suspension or termination without refund.
15.3 Sanctions and lawful funds.
You confirm that you and your Guests are not subject to sanctions or other legal restrictions, and that all funds you use are lawfully obtained. We may ask for identity and source-of-funds information, may decline or stop a Request, and may make any report the law requires.
15.4 Personal use.
The Services are for your personal or internal use. You will not resell them or exploit them commercially.
15.5 Reviews.
Nothing in these Terms restricts your right to give an honest review of our Services. This does not affect our rights in respect of false or defamatory statements.
15.6 Delay or failure caused by you.
If something you, a Guest or an Authorized Representative did or failed to do prevents or delays our performance, we are not liable for the consequences. You will reimburse the costs we incur as a result.
Privacy, confidentiality and communications
16.1 Privacy Notice.
Our Privacy Notice explains what personal information we collect, how we use and share it, and your rights.
16.2 Sharing with Suppliers.
You authorize us to share your information and your Guests' information with Suppliers and service providers, in the United States and abroad, as reasonably needed to fulfill Requests. You confirm you have each Guest's permission to give it to us.
16.3 Discretion.
We treat your information with discretion. We cannot control, and are not responsible for, what Suppliers, their staff, other guests, the media or the public observe, record or disclose.
16.5 Electronic communications.
You consent to receiving communications from us by email, text message, messaging applications and the Member Portal at the contact details you give us. Electronic records and signatures satisfy any requirement for writing or signature. You may opt out of marketing messages at any time.
16.6 Our confidential information.
The pricing, proposals, itineraries and Supplier contacts we share with you are confidential and for your use only. You will not disclose them to others or use them to bypass us.
16.7 Names and likeness.
We will not use your name or image publicly without your consent. You will not use our name or marks, or suggest we endorse you, without ours.
Intellectual property and website
17.1 Ownership.
The website, the Member Portal and all content, designs, text, images and marks in them belong to Le Rambouillet or its licensors.
17.2 Permitted use.
You may use the website and Member Portal for your personal, non-commercial use. You will not copy, scrape, frame, reverse engineer or access them by automated means, or use them unlawfully.
17.3 Website content.
Website content is general information, not an offer, and may contain errors or be out of date. We do not promise the website or Member Portal will be uninterrupted, secure or free of errors. Links to third-party sites are for convenience, and we are not responsible for those sites.
17.4 Feedback.
We may use any suggestion or feedback you give us without restriction or payment.
Disclaimers
18.1 THE SERVICES, THE WEBSITE AND THE MEMBER PORTAL ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, LE RAMBOUILLET DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
18.2 LE RAMBOUILLET MAKES NO WARRANTY ABOUT ANY SUPPLIER OR ANY SUPPLIER SERVICES.
18.3 No statement by our team, on our website or in our marketing creates a warranty that is not expressly set out in these Terms.
18.4 Some jurisdictions do not allow certain disclaimers. In those jurisdictions, this section applies to the fullest extent the law allows.
Limitation of liability
19.1 Excluded losses.
TO THE FULLEST EXTENT THE LAW ALLOWS, NO LE RAMBOUILLET PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, REPUTATION, DATA OR ENJOYMENT, OR FOR DISAPPOINTMENT OR DISTRESS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED THAT THE LOSS WAS POSSIBLE.
19.2 Matters outside our responsibility.
To the fullest extent the law allows, no Le Rambouillet Party is liable for Losses arising from:
• Suppliers and Supplier Services, as set out in section 7.3;
• the acts or omissions of you, a Guest or an Authorized Representative, including inaccurate, incomplete or late information;
• events beyond our reasonable control, as set out in section 22;
• the acts of any other third party, including criminal acts, unauthorized access to systems and payment fraud;
• your decision to buy, travel or take part;
• a refusal of entry, boarding, admission or service; or
• arrangements not made through us.
19.3 Cap.
TO THE FULLEST EXTENT THE LAW ALLOWS, THE TOTAL LIABILITY OF THE LE RAMBOUILLET PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, MEMBERSHIP, THE SERVICES OR ANY REQUEST IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO LE RAMBOUILLET, AND LE RAMBOUILLET RETAINED, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING SUPPLIER CHARGES, AND (B) US$[1,000].
19.4 What is not limited.
Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct or fraud, or any other liability that the law does not allow to be excluded or limited.
19.5 Time limit.
To the fullest extent the law allows, any claim arising out of or relating to these Terms or the Services must be commenced within one year after the event giving rise to it. After that it is permanently barred.
19.6 Who is protected.
Every Le Rambouillet Party has the benefit of this section and may enforce it. Any claim you have lies against Le Rambouillet, LLC only, and never against an individual.
19.7 Basis of the bargain.
This section applies to every theory of liability, including contract, tort, negligence and statute, and applies even if a remedy fails of its essential purpose. Our Fees reflect this allocation of risk, and we would not provide the Services without it.
Assumption of risk and release
20.1 Assumption of risk.
You understand that the travel, events, activities and purchases arranged at your Request involve risks we do not control. You voluntarily assume those risks for yourself and, to the extent you are able, for your Guests.
20.2 Release.
To the fullest extent the law allows, you release the Le Rambouillet Parties from all Losses arising from Supplier Services or from the acts or omissions of any Supplier or other third party. This release does not cover gross negligence, willful misconduct or fraud by a Le Rambouillet Party.
20.3 California residents.
If you live in California, you waive California Civil Code section 1542, which provides that a general release does not extend to claims the releasing party does not know or suspect to exist at the time of the release and that would have materially affected the settlement if known. [Counsel to insert the statutory text.]
20.4 Guests.
When you make a Request that includes Guests, you accept these Terms on their behalf and confirm you have authority to do so.
Indemnity
21.1 Your indemnity.
You will defend, indemnify and hold harmless the Le Rambouillet Parties from all Losses arising out of or relating to:
• your breach of these Terms or of any Supplier Terms;
• the acts or omissions of you, your Guests or your Authorized Representatives, including any injury or property damage they cause;
• any Supplier Charge, and any claim a Supplier makes against us, relating to a booking or purchase made at your Request;
• inaccurate, incomplete or late information or instructions;
• any chargeback, reversal or payment dispute concerning an authorized charge;
• any violation of law or of another person's rights; and
• any claim relating to Supplier Services brought by a Guest or by anyone else claiming through you.
21.2 Exception. This indemnity does not apply to the extent Losses are finally determined to result from the gross negligence, willful misconduct or fraud of a Le Rambouillet Party.
21.3 Conduct of claims. We may control the defense of any indemnified claim with counsel of our choice. You will cooperate, and you will not settle a claim in a way that admits fault by or imposes obligations on a Le Rambouillet Party without our written consent.
Events beyond our control
22.1 No liability. We are not liable for any delay or failure caused by an event beyond our reasonable control. Examples are severe weather and natural disasters; epidemics and public-health measures; war, terrorism and civil unrest; government action and changes in law; closure of airspace, ports or borders; strikes and labor disputes; transport disruption; failures of power, telecommunications, the internet or third-party systems; cyberattacks; and the failure or unavailability of a Supplier.
22.2 What happens then. We will use reasonable efforts to help with alternative arrangements. Fees are not refundable. Whether Supplier Charges are refunded depends on the Supplier Terms.
Suspension and termination
23.1 By you. You may end your Membership by written notice to us. Unless your membership agreement says otherwise, it ends at the close of the current term, and no Membership Fee is refunded.
23.2 By us. We may suspend or terminate Membership, or stop work on any Request, at any time and with immediate effect, at our sole discretion. Grounds include non-payment, breach of these Terms or of Supplier Terms, misconduct, false or incomplete information, and any legal, safety, security or reputational concern. If we end your Membership without cause, we will refund the Membership Fee for the unexpired part of the term. In every other case no refund is due.
23.3 What follows. Every sum you owe remains payable. Confirmed bookings stay subject to Supplier Terms, and you remain responsible for their Supplier Charges. We may cancel Requests that are not yet confirmed.
23.4 Survival. Sections 4, 7, 16 and 18 to 26, and any other provision that by its nature should survive, continue after Membership ends.
Dispute resolution and arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO HAVE A JURY HEAR YOUR CLAIM.
24.1 Talk to us first. Before starting any proceeding, the party with a Dispute must send the other a written notice that describes the claim and the relief sought. Send notices to us at the address in section 27, marked for the attention of Legal. We will send notices to you at the contact details we hold. Both of us will try in good faith to resolve the Dispute within 60 days of the notice. Any limitation period is paused during those 60 days.
24.2 Agreement to arbitrate. A "Dispute" is any dispute, claim or controversy arising out of or relating to these Terms, Membership, the Services, a Request or our communications with you, including whether a Dispute can be arbitrated. Every Dispute not resolved under section 24.1 will be decided by final and binding arbitration before one arbitrator, administered by JAMS under its rules then in effect, including the JAMS Consumer Arbitration Minimum Standards where they apply. The seat of arbitration is New York, New York. Hearings may be held by video. Where the applicable consumer rules require it, an in-person hearing will be held where you live. The Federal Arbitration Act governs this section.
24.3 Exceptions. Either of us may bring an individual claim in small claims court. Either of us may ask a court for an injunction to protect intellectual property or confidential information.
24.4 NO CLASS ACTIONS. YOU AND LE RAMBOUILLET MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class or representative proceeding. If this waiver cannot be enforced for a particular claim, that claim will be heard in the courts named in section 25 after the arbitration of all other claims.
24.5 JURY WAIVER. YOU AND LE RAMBOUILLET EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT.
24.6 Costs. The JAMS rules decide who pays the filing, administrative and arbitrator fees. Each party pays its own attorneys' fees, except where the law or section 4.10 provides otherwise. The arbitrator may award fees and costs against a party that brings a frivolous claim.
24.7 Confidentiality. The arbitration, and everything disclosed in it, is confidential, except as needed to enforce an award or as the law requires.
24.8 Coordinated filings. If 25 or more similar demands are brought against us by the same or coordinated counsel, they will be administered in staged batches under the administrator's mass-arbitration procedures. Limitation periods are paused for claims waiting for a batch.
24.9 Public injunctive relief. Where the law does not allow a claim for public injunctive relief to be arbitrated or waived, that claim alone will be heard in the courts named in section 25, after the arbitration of all other claims.
24.10 Your right to opt out. You may opt out of this section 24 within 30 days after you first accept these Terms. To do so, email info@lerambouillet.com with your full name and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
24.11 If part of this section fails. If any part of this section 24 cannot be enforced, the rest of it stays in force, except as section 24.4 provides.
Governing law and courts
25.1 Governing law. The laws of the State of New York govern these Terms and any Dispute, without regard to conflict-of-law rules. The Federal Arbitration Act governs section 24.
25.2 Courts. Subject to section 24, the state and federal courts located in New York County, New York have exclusive jurisdiction over any proceeding arising out of or relating to these Terms. You and we consent to personal jurisdiction and venue there.
25.3 Mandatory rights. If you are a consumer and the law of the place where you live gives you rights that cannot be waived by contract, nothing in these Terms takes those rights away.

26.9 Interpretation. Headings are for convenience only. These Terms are not to be construed against the party that drafted them. The English version controls over any translation.
